Terms of Service

1. Agreement

These Terms of Service ("Terms") form an agreement between you and Click & Canvas ("we," "us," or "our"), a website design and maintenance studio based in Los Angeles, California. By visiting clickandcanvas.com, submitting an inquiry, or engaging us for services, you agree to these Terms.

2. Our services

We design, build, and maintain websites for small and local businesses. The specific scope, deliverables, timeline, and price for your project are described in a separate written project proposal or invoice. If anything in those documents conflicts with these Terms, the project proposal controls for that engagement.

3. Pricing and payment

• Our standard package is a $500 one-time setup fee plus $50 per month for ongoing maintenance, hosting coordination, and small updates.
• Add-ons (photoshoots, chatbot integrations, local SEO, etc.) are billed separately at the prices shown on our pricing page or in your proposal.
• The setup fee is due before development begins. Monthly maintenance is billed in advance and auto-renews until you cancel with 30 days' notice.
• Late payments may pause active work or maintenance.

4. Your responsibilities

You agree to:

• Provide accurate business information, copy, brand assets, and timely feedback.
• Ensure you own or have the right to use all content you give us.
• Not use our work or website for illegal, deceptive, or infringing purposes.

5. Intellectual property

On full payment of the setup fee, you own the final design and content of your website. We retain ownership of our internal tools, templates, and techniques used to build it. We may show your finished site in our public portfolio unless you ask us not to in writing.

6. Maintenance plan

The monthly maintenance plan includes hosting management, software updates, security monitoring, uptime monitoring, regular backups, and small content edits (typically up to one hour per month). Larger redesigns, new pages, or new functionality are quoted separately. If you cancel, your site files are yours to keep, but ongoing care ends.

7. Revisions and approval

Each project includes one round of focused revisions on the proposed design. Additional rounds are available at our standard hourly rate. Once you approve the design and we launch the site, future changes are handled through your monthly maintenance plan or quoted separately.

8. Third-party services

Your website may rely on third-party providers (hosting, domain registrars, analytics, payment processors, etc.). Their terms and pricing apply in addition to ours, and we are not responsible for outages or changes on their end.

9. Warranty and liability

We deliver our services with reasonable skill and care. To the fullest extent permitted by law, our services are provided "as is" without other warranties, and our total liability for any claim related to our services is limited to the amount you paid us in the three months before the claim.

10. Termination

Either of us may end the maintenance relationship with 30 days' written notice. We may suspend or end service immediately for non-payment or material breach of these Terms. Fees already paid are non-refundable once work has begun, except where required by law.

11. Governing law

These Terms are governed by the laws of the State of California. Any dispute will be resolved exclusively in the state or federal courts located in Los Angeles County, California.
